Areas of Practice
Our transactional practice primarily focuses on commercial contracts. We assist in-house legal teams with reviewing and negotiating inbound and outbound master service agreements, software-as-a-service (SaaS) agreements, and a wide range of service, vendor, and technology contracts. For clients without in-house counsel, we take a more hands-on approach, providing agreement drafting, legal analysis of proposed terms or revisions, and ongoing consultation.
We are experienced in handling transactions across diverse business matters, including letters of intent for property leases or asset purchases, confidentiality and nondisclosure agreements, commercial leases, asset sales, manufacturing, business services, licensing, technology agreements, creative services, and client service contracts.
Additionally, we prepare essential business formation documents, such as articles, bylaws, operating agreements, and initial meeting minutes or consents.

Outside General Counsel Services
We serve as outside general counsel, managing most general business matters directly and engaging specialized counsel as needed for areas such as securities or patent prosecution. In a typical arrangement, we hold regular meetings with clients to review completed work, discuss new matters, and plan next steps. Between meetings, we handle day-to-day business needs, such as letters of intent or manufacturing agreements, and collaborate with external specialists to address issues like regulatory compliance and financing documentation.
Your vision, our counsel,
guiding businesses from startup to success.
